 A. TERMS AND CONDITIONS 

Your use of this Website (as defined below) is subject to these terms and conditions ("Terms"). Please read these Terms carefully before using the Website. 

All of the terms and conditions in the Terms are important, but please pay special attention to the parts that are italicised in bold. These parts contain information about the Terms that have special consequences for you. 

1. What do these Terms regulate? 

This site [https://www.gsb.uct.ac.za/] ("Website") is made available by the University of Cape Town Graduate School of Business ("UCT GSB", "we", "our" or "us"). Any reference to "UCT GSB", "we", "our" or "us" includes our employees, officers, directors, representatives, agents, shareholders, affiliates, subsidiaries, holding companies, related entities, advisers, sub-contractors, service providers and suppliers. All UCT GSB specialised centres, departments, partners, units and initiatives are incorporated and protected under these Terms. 

These Terms apply to any person who uses, accesses, refers to, views and/or downloads the information made available by us on the Website for whatever purpose ("Content") (hereinafter referred to as "users" or "you" or "your"). The display of Content and your ability to view, access, use, and/or download the Content on the Website shall be referred to as the "Services". 

2. Your Agreement to these Terms 

By accessing, using and/or downloading any Content from the Website in any way, you agree that you enter into a legally binding contract with us upon agreement to these Terms and our Privacy Policy which is accessible below at https://www.gsb.uct.ac.za/privacy-policy ("Privacy Policy"). If you do not agree to the Terms or the Privacy Policy, please do not continue to access, use or download any Content from the Website. 

These Terms, the Privacy Policy, and any additional documents we incorporate by reference in these Terms constitute the complete and exclusive understanding and agreement between you and us. 

These Terms may be updated or amended by us at any time at our sole discretion. If you continue to access or use the Website and/or our Content after amendments are made and displayed, you will be deemed to have accepted these changes. 

If you do not agree with any term or condition in these Terms, the Privacy Policy, or any policies or additional documents we incorporate by reference, or any subsequent changes thereto or become dissatisfied with us, the Website or our Privacy Policy, you must not continue to use the Website or our Services.

We do not permit copyright infringing activities and infringement of intellectual property rights on the Website, and we may, at our sole discretion, remove any infringing Content if we are of the view that such Content infringes on another's intellectual property rights. 

Hyperlinks provided on this Website to non-UCT GSB sites, are provided "as is" and UCT GSB does not necessarily agree with, edit or sponsor the content on such websites. No person, business or website may frame this Website or any of the pages on this Website in any way whatsoever.  

The Website and the Services available through the Website may contain links to other third party websites or resources, including (without limitation) social media platforms ("Third Party Websites"). If you link to Third Party Websites, you may be subject to those Third Party Websites’ terms and conditions and other policies. We do not in any way whatsoever endorse or take responsibility for the content and views expressed in or by any Third Party Websites. 

4. Accuracy of Information 

Whilst all reasonable and foreseeable steps and precautions have been taken to ensure the accuracy of all of the Content available on the Website, the Content is intended and produced for general information purposes only, and to the extent allowed by law, should not be relied upon by you as specific advice of any kind. 

UCT GSB reserves the right to modify, change, amend or discontinue this Website or any part thereof temporarily or permanently, without prior notice. 

You understand and agree that the information, details and descriptions set out on this Website, including (without limitation) the details regarding the academic programmes, executive courses, faculties, centres, alumni, students, events and news, may alter from time to time. This Website may therefore not always contain the correct or most up-to-date information, details and descriptions relating to our Services. You are advised to contact us on the details provided at info@gsb.uct.ac.za before using or relying on the information on the Website. 

You acknowledge that any information, ideas and opinions expressed on the Website are not intended to, and do not, constitute professional advice or a replacement or substitute for professional advice of any nature whatsoever. 

This paragraph 4 constitutes an assumption of risk and/or liability by you and limits and excludes liabilities, obligations and legal responsibility which we will have towards you and other persons. This paragraph 4 also limits and excludes your rights and remedies against us and places various risks, liabilities, obligations and legal responsibilities on you. Please ensure that you have read and understood the terms in this paragraph 4. 

5. Your Behaviour when using the Website and the Services 

You may not use the Website to obtain or distribute: 

  • copyrighted material or material protected by law without our prior written consent; or 

  • material containing viruses or any other destructive materials or data or code which is able to corrupt, interfere with, jeopardise, disrupt, disable, harm or otherwise impede in any manner the operation of a computer system or hardware or software. 

You must not perform any act which may jeopardise or interfere with the functionality or the operation of any part of the Website or our Services. 

You are strictly prohibited from using the Website for "spoofing", "hacking", "flaming", "cracking", "phishing" or "spamming" or any other activity designed or aimed at achieving purposes similar or the same as the aforementioned acts. 

You shall not intercept any information transmitted to or from us or the Website which is not intended by us to be received by you. 

Subject to the further provisions of these Terms, the Website and the Content may only be used by you for lawful purposes and shall not extend to the use of the source code of the Website or the Content. 

Subject to the further provisions of these Terms, you are not allowed to: (i) frame, modify, distribute, commercialise, exploit and/or alter the Website or the Content; (ii) incorporate any part of the Content in any other work or publication; and/or (iii) perform any other act which may not be considered fair use. 

You are permitted to create a hyperlink to the home page of the Website so long as the link does not portray us, our employees, affiliates or agents in a false, confusing, misleading, derogatory, or otherwise offensive manner or in any way associate us with any derogatory or otherwise offensive content. You also agree to ensure that any hyperlink to the home page of the Website is clearly visible. 

Any restrictions on the use of the Website or the Content shall also apply to any part of the Website or the Content which may be cached when using the Website or the Content. 

In addition, you shall not, and shall not allow a third party to: 

  • decompile, disassemble or otherwise reverse engineer or attempt to reconstruct or discover any source code, underlying ideas, algorithms, file formats, programming of the software forming part of the Website and/or the Content ("the Software") or any files contained in or generated by the Software by any means whatsoever;

The copyright and other intellectual property rights (which include the UCT GSB brand and logo) which are owned by or licensed to UCT GSB and accessible via this Website, are the property of UCT GSB. These include but are not limited to text, content, design, layout, graphics, organisation, digital conversion and other information related to the website. 

We reserve all rights (including all intellectual property rights) not expressly granted herein to the Website and the Content we make available on or via the Website. 

You agree to not engage in the use, copying, or distribution of any of the Content other than as expressly permitted herein, including any use, copying, or distribution of Content of third parties obtained through the Website for any commercial purposes. If you download or print a copy of the Content for personal use, you must retain all copyright and other proprietary notices contained therein. 

You agree not to circumvent, disable or otherwise interfere with security related features of the Website or features that prevent or restrict use or copying of any Content or enforce limitations on the use of the Website or the Content therein. All moral rights of UCT GSB and its employees/agents are reserved. 

Any reproduction, modification, creation of derivative works from or redistribution of the Website, the Content, or the collective work or compilation is expressly prohibited. Copying or reproducing the Website, the Content, or any portion thereof to any other server or location for further reproduction or redistribution is expressly prohibited. 

You may not decompile or disassemble, reverse engineer or otherwise attempt to discover any source code contained in the Services. Without limiting the foregoing, you agree not to reproduce, duplicate, copy, sell, resell or exploit for any commercial purposes, any aspect of the Services.

7. Collection of Personal Information 

We collect personal information from you. We will handle the collection, processing and storage of your personal information in accordance with our Privacy Policy described and accessible below at https://www.gsb.uct.ac.za/privacy-policy

During the course of your interaction on the Website and with UCT GSB, you may be required to create a unique username and password and provide us with personal information. The processing of your personal information is in accordance with the aforesaid Privacy Policy. By disclosing or submitting your personal information to us, you consent to us collecting, processing and storing your personal information for the purposes described in our Privacy Policy. 

You agree and warrant that: 

  • the data you provide is your own and not falsified, and that you are responsible for ensuring the information contained is accurate and up to date; 

  • the username and password is your personal account and shall not be distributed to any other party; 

  • you will ensure that the password follows good security guidelines; and 

  • should you become aware of any breach of security or suspicious activity with regard to your data provided to us you will notify UCT GSB immediately at info@gsb.uct.ac.za

 8. Indemnity 

As far as the law allows, you agree to defend, indemnify us and hold us and our officers, subsidiaries, holding companies, affiliates, successors, assigns, directors, officers, agents, service providers, suppliers, and employees harmless from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorneys' fees) arising from: 

  • your use of and access to the Website and/or the Services; 

  • your violation of any term of these Terms; 

  • your violation of any third party right, including without limitation any copyright, trademark, trade secret or other property or privacy right; or 

  • any claim that your content caused damage to a third party. This defence and indemnification obligation will survive termination, modification or expiration of these Terms and your use of the Services and the Website.

9. Limitation of Liability 

Subject to the paragraph below, and as far as the law allows, neither us nor any of our agents, officers, subsidiaries, holding companies, affiliates, successors, assigns, directors, service providers, suppliers, employees or representatives shall be liable for any damage, loss or liability of whatsoever nature arising from the use or inability to use the Website or the Services or content provided from and through the Website. Furthermore, we make no representations or warranties, implied or otherwise, that, amongst others, the Content and technology available from the Website are free from errors or omissions or that the Services will be 100% uninterrupted and error free. 

As far as the law allows, no provision of these Terms (or any contract governed by these Terms): 

  • does or purports to limit or exempt us from any liability (including, without limitation, for any loss directly or indirectly attributable to our gross negligence or wilful default or that of any other person acting for or controlled by us) to the extent that the law does not allow such a limitation or exemption; and 

  • requires you to assume risk or liability, to the extent that the law does not allow such an assumption of risk or liability.

This paragraph 9 also limits and excludes your rights and remedies against us and places various risks, liabilities, obligations and legal responsibilities on you. Please ensure that you have read and understood the terms in this paragraph 9. 

10. Exclusion of Warranties and Representations 

As far as the law allows, the Website and the Services are provided without any representation or warranty whatsoever, whether express, implied or statutory, including (without limitation) any representation or warranty as to the operation, integrity, compatibility, availability or functionality of the Website or as to the operation, accuracy, completeness, integrity, compatibility, availability functionality or reliability of the Content. 

This paragraph 10 constitutes an assumption of risk and/or liability by you and limits and excludes liabilities, obligations and legal responsibility which we will have towards you and other persons. This paragraph 10 also limits and excludes your rights and remedies against us and places various risks, liabilities, obligations and legal responsibilities on you. Please ensure that you have read and understood the terms in this paragraph 10. 

11. Assignment 

These Terms, and any rights and licenses granted hereunder, may not be transferred or assigned by you. We may, at any time, transfer or assign any or all of our rights and obligations under these Terms. We will notify you if we assign any rights or obligations to a third party. We do not have to inform you where we assign any rights or obligations to any of our affiliates or sub-contractors which we may appoint. 

12. Successors and Assigns 

These Terms shall inure to the benefit of and be binding upon each party's successors and assigns.

13. Violation of Terms 

Please report any violations of the Terms (including the Privacy Policy or any documents incorporated by reference) that you become aware of by contacting us at info@gsb.uct.ac.za. Any failure to act by us with respect to a breach by you or others does not waive our right to act with respect to subsequent or similar breaches by you or others. 

14. Electronic Communications 

By using the Website and/or the Services and accepting these Terms, you consent that all agreements, notices, disclosures and other communications sent by you or UCT GSB satisfy any legal requirements, including but not limited to the requirement that such communications should be "in writing". For the purposes of this paragraph, a "data message" means data generated, sent, received or stored by electronic means. 

You agree specifically that: 

  • the agreement will be treated as if it was concluded at our physical address on the date on which you first made any use of the Website and/or Services; 

  • any data message sent by either you or us to the other will be deemed to have been sent from our physical address if neither your usual place of business nor residence is located within South Africa; 

  • subject to the further provisions of these Terms, any communication sent to you by an information system programmed to operate automatically on our behalf will be a data message attributable to, or authorised by us; and 

  • subject to the further provision of these Terms, a data message sent by you to us will only be treated as having been received by us when an acknowledgement of receipt is sent by us personally or a person who had authority to act on our behalf in respect of that data message.

The Electronic Communications and Transactions Act 25 of 2002 states that when goods or services are offered by way of electronic transactions, the seller must make certain information available to customers on Websites where the goods or services are offered. This information is set out below:

16. Consumer Protection Act 

If these Terms (or any contract governed by these Terms) or the Services provided and/or made available on the Website are regulated by or subject to the Consumer Protection Act 68 of 2008, as may be amended from time to time (the "Consumer Protection Act"), it is not intended that any provision of these Terms contravene any provision of the Consumer Protection Act. Therefore all provisions of these Terms must be treated as being qualified, to the extent necessary, to ensure that the provisions of the Consumer Protection Act are complied with. 

No provision of these Terms (or any contract governed by these Terms): 

  • does or purports to limit or exempt us from any liability (including, without limitation, for any loss directly or indirectly attributable to our gross negligence or wilful default or that of any other person acting for or controlled by us) to the extent that the law does not allow such a limitation or exemption; 

  • requires you to assume risk or liability for the kind of liability or loss, to the extent that the law does not allow such an assumption of risk or liability; or 

  • limits or excludes any warranties or obligations which are implied into these Terms (or any contract governed by these Terms) by the Consumer Protection Act (to the extent applicable) or which we give under the Consumer Protection Act (to the extent applicable), to the extent that the law does not allow them to be limited or excluded. 

17. Interpretation and Miscellaneous Provisions 

These Terms and the relationship between us shall be governed and construed in accordance with South African law. Any disputes arising in connection with these Terms and our Services shall be subject to the exclusive jurisdiction of the courts located in South Africa. Our failure to exercise or enforce any right or provision of the Terms shall not constitute a waiver of such right or provision. If any provision of the Terms is found by a court of competent jurisdiction to be invalid (including, without limitation, because such provision is inconsistent with the laws of another jurisdiction) or inapplicable, the parties nevertheless agree that the court should endeavour to give effect to the parties' intentions as reflected in the provision. 

The termination of any contract created by these Terms will be without prejudice to any other rights or remedies that you or we may be entitled to under the agreement or at law, and will not affect any of our or your accrued rights or liabilities nor the coming into or continuance in force of any provision of these Terms which is expressly or by implication intended to come into or continue in force on or after such termination. 

 B. PRIVACY POLICY 

 1. Introduction: General Policy Statement 

As a leading business school in Africa, The University of Cape Town Graduate School of Business ("UCT GSB" "we", "our" or "us") engages with socio-political, natural and economic contexts and is committed to participating in key issues through outstanding teaching, research and scholarship. By necessity UCT GSB focuses on exploiting information to achieve its mission. Next to people, information is UCT GSB’s most important asset. The information UCT GSB uses exists in many forms including that which is stored electronically and transmitted using electronic means. Regardless of the form it takes, or means by which it is shared or stored, information should always be protected appropriately.  

The Graduate School of Business, the business school of the University of Cape Town, is committed to respecting your privacy. This Privacy Policy lets you know how your personal information is processed and used at UCT GSB. We take the necessary steps to use your personal information only in ways that are compatible with this Privacy Policy.

2. Privacy Statement 

This Privacy Policy, which must be read together with our Website Terms and Conditions ("Terms"), sets out the basis on which any personal information we collect from you, or that you provide to us, will be gathered, used, stored and processed by us ("Process"). Unless defined elsewhere, terms in this Privacy Policy will bear the same meaning ascribed to them in the Terms. 

In adopting this Privacy Policy, we wish to balance our legitimate business interests and your reasonable expectation of privacy. Accordingly, we will take reasonable steps to prevent unauthorised access to, or disclosure of your Personal Data (defined under Consent below). However, we do not guarantee that your Personal Data shall be 100% secure.

3. Information Collection 

UCT GSB is the sole owner of the information collected from our website. We do not, or will not sell, share, or rent this information to others in ways different from what is disclosed in our privacy statement above.

4. Consent 

By retrieving, using and/or downloading any Content from the Website in any way, you signify that you have read and agree to comply and be bound by this Privacy Policy and by the Terms which you are accessing here. 

In particular you consent that we may Process Personal Data for the purposes of providing you with access to the Content and our Website and for any of the purposes listed in this Privacy Policy. 

If you do not agree with this Privacy Policy, please do not continue to use the Website and/or the Content. 

Whilst the supply of your Personal Data is voluntary, a consequence of failing to provide the Personal Data is that we will be unable to provide the Content to you and may not be able to provide you with any of our products or Services. The terms "Content" and "Services" have the same meaning in this Privacy Policy as the meaning given to them in the Terms.

4.1 What types of Personal Data do we Process? 

The types of Personal Data that we may Process includes information necessary for our legitimate business interests and the categories of personal information identified in relevant data protection laws in the Republic of South Africa. This may include personal information which contains identifiable information such as (amongst other things) your first and last name, identity number, email address, postal address, telephone numbers, date of birth, and information related to your educational history ("Personal Data"). 

We will attempt to limit the types of Personal Data we Process to only that to which you consent and which is necessary for our legitimate business interests. Should you not consent to providing Personal Data which is necessary for us in our legitimate interests, we reserve the right to not provide a Service.

4.2 How and when does UCT GSB collect Personal Data? 

UCT GSB will collect your Personal Data in several ways, including:&nbp;

  • when you make use of the Services and Content on the Website; 

  • when you browse the Website; 

  • when we carry out demographic research; 

  • when you register an account on the Website; 

  • should you be registered on a course, on the online learner support systems; 

  • when you give us information or supporting documents which we ask for on the Website; 

  • with your consent when you participate in peer or research activities; 

  • when you respond to us in written or electronic format such as through email or facsimile as required through interactions with us; and 

  • when you join or participate on social networks with UCT GSB-related groups, or with content considered public domain such as Twitter hashtags. 

When you visit our Website, our web server also automatically records the name of your ISP (Internet Service Provider), the website from which you visit us, the pages on our sites you visit and in what sequence, and the date and length of your visit. This information is aggregate and anonymous data and does not identify you specifically.

4.3 How does UCT GSB use your Personal Data? 

We may use your Personal Data: 

  • to provide services you request; 

  • to retain and make available to you information or via the Website; 

  • as a registered user, to notify and authenticate your identity when you view and access the designated area of the Website or other supporting databases such as student records; 

  • to verify your identity on the Website; 

  • to allow you to participate in recreational activities on the Website or Learner Management Systems (e.g. participate in our message boards); 

  • to inform you of changes made to our Website; 

  • to inform you of additional services, courses, seminars, programmes offered by us which you may find interesting; 

  • to respond to any queries you may have; 

  • to develop a more direct relationship with you for the purposes described in this section; 

  • to develop an online user profile; 

  • to understand general user trends and patterns so we can develop and support existing and ongoing marketing strategies for our services; 

  • to facilitate our legitimate business interests; 

  • with consent, as aggregate data for academic research; and 

  • for security, administrative and legal purposes. 

 5. Use of Cookies and IP Addresses 

A cookie is a piece of data a Website transfers to a user’s hard drive for record-keeping purposes; it stores information about the visitor. Cookies make surfing the web easier for you by saving your preferences and tracking your online habits and traffic patterns. The use of cookies is an industry standard. Advertisers connected to UCT GSB at times require cookies to track statistics about products and locations, but at no time are these linked to any personal identification. UCT GSB uses cookies to improve the accuracy of advertising targeting. 

While most browsers are initially set up to accept cookies you can reset your browser to refuse all cookies or indicate when a cookie is being sent. Further, please note that some aspects of the Website will not function properly if you refuse cookies. 

An IP address is a number that is automatically assigned to a computer whenever it is connected to the Internet. We log IP addresses, or the location of computers on the Internet. 

We collect IP addresses for the purposes of system administration and to audit the use of the Website. We do not ordinarily link IP addresses to personal information, which means that your session may remain anonymous. However, we cannot guarantee that this will always be the case, as it may be necessary to identify a particular user to enforce compliance with the Terms or to protect our Website, its users or other interests.

5.1 What about Personal Data that is publicly available? 

If at any time our Website offers any chat rooms, message boards, blogs, newsgroups or forums, etc., anything you post in any of these forums shall be considered public information ("Public Information") and we Process the Public Information that you disclose. Such Public Information will be used in accordance with this Privacy Policy and shall be stored by us on our platform. Please note that we are not responsible for other parties' use of the Personal Data which you make available to such third parties through any chat room, message board, blog, newsgroup or forums, etc. on our Website. 

5.2 Will my Personal Data be used for marketing purposes? 

If we obtain your prior consent, we may use your Personal Data for the purposes of: 

  • direct marketing of our own services and on behalf of other companies within UCT GSB; 

  • research marketing; and 

  • direct marketing of products and services on behalf of selected third parties, if you have agreed to your details being passed on to third parties. 

You are entitled to request that we desist from using your Personal Data for the purposes of direct marketing, and we will provide you with the necessary functionality for you to do so with ease, each time we market to you.

5.3 What security measures are in place to protect my Personal Data? 

Although absolute security cannot be guaranteed on the Internet, we have in place up-to-date, reasonable technical and organisational security measures to protect your Personal Data against accidental or intentional manipulation, loss, misuse, destruction or against unauthorised disclosure or access to the information we Process online. 

While we cannot ensure or warrant the security of any Personal Data you provide us, we will continue to maintain and improve these security measures over time in line with legal and technological developments.

5.4 How will UCT GSB store my Personal Data? 

We store your Personal Data in a customer relationship management database located in UCT GSB’s server rooms. 

The Website is hosted on cloud services, however the Personal Data is securely transferred and not cached on the portal. 

Should you be a student, Personal Data may also be stored in our Learner Management System. 

Should you be a debtor, relevant Personal Data will be stored in our Financial Management System. 

Should you consent to being a direct marketing subject, only your electronic contact data will be provided to our marketing platform. 

If the location of the central database is located in a country that does not have substantially similar laws which provide for the protection of personal data, we will take the necessary steps to ensure that your Personal Data is adequately protected in that jurisdiction. 

Your information will not be stored for longer than is necessary for the purposes described in this Privacy Policy unless further retention is required by law or contractual obligation or otherwise reasonably required by us. 

6 Sharing 

 6.1 Will my Personal Data be shared with anyone else? 

While UCT GSB does not share any information with third-party advertisers or merchants, we may disclose your Personal Data to designated entities for hosting, education administration and marketing purposes including all social media platforms. 

Except when we have your permission or for purposes of our legitimate business interests, we do not guarantee that your personal information will not be shared with third parties without your permission. 

You agree that your de-identified aggregate personal information may be shared under the following circumstances: 

  • to our holding companies, subsidiary companies, agents, advisers, service providers and suppliers;  

  • to monitor web traffic: web servers serving the Website automatically collect information about pages you visit. UCT GSB uses Google Analytics to analyse trends, track user movements, and gather data for demographic locations. This is not attached in any way to visitors’ personal identification.

9. Surveys and Competitions 

At any particular time, UCT GSB will conduct surveys for our visitors and run or enter competitions.
